JACKSON, Miss. – Cal-Maine Foods Inc. announced March 3 that it has closed its acquisition of the assets of Happy Hen Egg Farms, Inc. and affiliates, relating to their commercial production, processing, distribution and sale of shell eggs business. The transaction includes commercial egg production and processing facilities with capacity for approximately 350,000 laying hens and distribution facilities located near Harwood and Wharton, Texas. Happy Hen Egg Farms’ current site is designed for capacity of up to 1.2 million laying hens.
“This proposed transaction is commensurate with our strategy to expand our business through selective acquisitions,” Dolph Baker, president and CEO of Cal-Maine Foods, said in a statement when the acquisition was announced. “We look forward to the opportunity to extend our market reach and deliver greater value to both our customers and shareholders.”
Last August, Cal-Maine acquired the assets of Foodonics International Inc. and its related entities doing business as Dixie Egg Co. The transaction included the Egg-Land’s Best Inc. franchise as well as processing facilities with capacity for approximately 1.6 million laying hens and related feed production, milling and distribution facilities in Georgia, Alabama and Florida.
Cal-Maine Foods Inc. primarily is engaged in the production, grading, packing and sale of fresh shell eggs, including conventional, cage-free, organic and nutritionally-enhanced eggs. The company is the largest producer and distributor of fresh shell eggs in the United States and sells the majority of its shell eggs in states across the southwestern, southeastern, mid-western and mid-Atlantic regions of the United States.
